Artist Rights Agreement

This agreement forms part of the Arrival Shows Terms and Conditions. “Work” means every image, artwork, photograph, biography, statement, caption, title, and other material you submit.

1. Your ownership

You keep copyright and all other rights you hold in the Work. This agreement does not transfer ownership to NOMI VENTURES LIMITED, Arrival Shows, or Arrival Gallery.

2. Your promises

For every Work, you confirm that:

• you created it or have full authority from the relevant rights owner to submit, exhibit, and license it;
• it does not infringe copyright, trademark, moral rights, privacy, publicity, confidentiality, or another person’s rights;
• you have permission from identifiable people where permission is legally required;
• you have any location, property, archive, collaborator, performer, commissioner, or collective permissions needed for the uses in this agreement;
• the information you supply is accurate and not misleading;
• it complies with the content restrictions below; and
• you are at least 18 and authorised to accept this agreement, including for a collective where applicable.

If another person owns rights in any part of the Work, you must obtain permission before submission and keep evidence of it.

3. Exhibition licence

You grant NOMI VENTURES LIMITED a non-exclusive, worldwide, royalty-free licence to use the Work only as reasonably necessary to:

• receive, validate, moderate, store, back up, convert, resize, crop only where technically necessary and not misleading, compress, and optimise it;
• prepare and display the relevant Arrival Shows exhibition and artist profile;
• provide private previews and correction tools;
• create and deliver participation certificates and exhibition PDFs;
• forward and administer visitor artwork enquiries;
• identify and promote the exhibition or Arrival Shows through Arrival Shows and Arrival Gallery websites, emails, press/editorial materials, and social channels at our discretion; and
• keep limited records where required for legal, tax, security, complaint, or rights-management purposes.

The licence allows us to use hosting, storage, image-processing, email, PDF-generation, security, and other service providers as sub-processors or technical subcontractors only to the extent necessary for those purposes. It does not allow us to sell, mint, merchandise, or license the Work as a commercial product for third parties.

4. Licence duration

The public-display licence runs through submission preparation, preview, the exhibition month, and the administration reasonably needed after the exhibition.

After that, the licence ends except:

• delivered certificates and PDFs may continue to be held and used by their recipients;
• already-published non-paid editorial or social posts may remain in ordinary channel history unless removal is legally required or reasonably agreed;
• temporary backups, delivery retries, security logs, and legally required records may remain for their applicable retention periods; and
• we may keep the minimum information necessary to establish what was submitted, licensed, moderated, delivered, or disputed.

Public exhibitions are removed at the end of their month and are not maintained as a permanent public archive.

5. Integrity and credit

We will use the artist display name you approve and will not intentionally present the Work in a derogatory or misleading way. Technical resizing, responsive cropping of surrounding layout, colour-profile conversion, compression, accessibility text, and file-format conversion are permitted where reasonably required for display and delivery.

We do not ask you to waive moral rights. If a specific technical or promotional crop would materially alter the Work, it should be visible in preview or separately approved where practicable.

6. Corrections and withdrawal

You can replace images and correct text during the published correction period within your paid allowance. Before the open-call deadline, cancellation receives the refund stated in the Refund and Cancellation Policy.

After publication, contact support immediately about a rights, privacy, safety, or material factual concern. We may restrict or remove material while reviewing it. Routine change-of-mind withdrawal after the deadline does not automatically create a refund right, but statutory rights are unaffected.

7. Content restrictions

Work must not contain:

• illegal material;
• hate content, credible threats, or targeted harassment;
• exploitative material;
• sexual content involving minors; or
• material infringing copyright, trademark, privacy, publicity, confidentiality, or other third-party rights.

Artistic nudity is permitted. AI-generated artwork is permitted, and disclosure of AI use is not required. These permissions do not remove your responsibility to hold the necessary rights and comply with the restrictions.

8. Moderation

Arrival Shows does not make a subjective artistic selection. Automated or staff checks may flag a submission for possible legal, rights, safety, or content-policy concerns.

We may request clarification, evidence of permission, a correction, or a replacement; restrict access during review; or reject/remove material presenting a legal, safety, or reputational risk. A submission rejected before publication receives a full refund under the published policy.

9. Claims from other people

Tell us promptly if you receive a claim concerning submitted Work. We may share the minimum necessary submission and contact information to handle a credible legal claim, where permitted or required by law. Nothing in this agreement makes you responsible beyond what the law allows, and it does not create an indemnity beyond any responsibility imposed by applicable law.

10. Exhibition PDFs

The exhibition PDF is a record of the relevant exhibition, not a transfer of rights. Participants and other recipients may keep and share the delivered PDF for personal, portfolio, press, educational, and non-misleading exhibition-reference purposes. They must not extract, sell, alter, mint, merchandise, or separately reuse another artist’s Work without permission.

Submission declarations

The submission process records separate, unticked confirmations:

1. Authority: I created the submitted Work or have full authority to exhibit it and grant the licence in the Artist Rights Agreement.
2. Permissions: I hold any permissions legally required for identifiable people, collaborators, locations, property, and third-party material shown or included.
3. Content: The submission complies with the content restrictions and does not infringe another person’s rights.
4. Licence: I grant the limited, non-exclusive licence described in the Artist Rights Agreement.
5. Terms: I have read and agree to the Terms and Conditions, Refund and Cancellation Policy, and Artist Rights Agreement.

We store the agreement version, timestamp, submission reference, and evidence of the acceptance event.
